Unilab Corp. v. Angeles-IPA, 244 Cal. App. 4th 622 (2016). Successfully represented Angeles-IPA, in a case where the court held that no implied-in-fact contract under Civil Code §1621 existed between a clinical laboratory company and an independent physicians’ association whose physicians, acting as independent contractors, sometimes mistakenly sent specimens from the association’s patients to the company for testing after a previous contract had ended and the company had notice that it was no longer authorized to perform testing for the association.
Represented a physician group in its merger with and into an independent physician association for an aggregate purchase price of 25.8 million dollars.
